Terms of Service

These Terms of Service ("Terms") govern your use of the Trak mobile application ("the Service"). TrakApp LLC ("Trak," "we," "us," "our") provides the Service.

By creating an account or using Trak on iOS or Android, you agree to these Terms. You also agree to our Privacy Policy. If you do not agree, discontinue use immediately.

1. Agreement & Acceptance

• This is a binding legal agreement between you and TrakApp LLC
• By creating an account, you accept these Terms
• By using any feature of Trak, you accept these Terms
• You must also accept our Privacy Policy (incorporated by reference)
• If you disagree with any part, you must stop using the Service immediately
• These Terms apply to all users globally

2. Eligibility

You may use Trak only if:

• You are at least 13 years old
• You have legal capacity to enter into a binding contract
• You are not prohibited from using the Service under the laws of your jurisdiction
• Your account has not previously been suspended or banned for violating our Terms
• You comply with all local laws regarding online conduct

Account Requirements:

• You must provide accurate and current information when creating your account
• You must update your information if it changes
• You are responsible for maintaining the confidentiality of your login credentials
• You may not share your account with others
• You must notify us immediately if you suspect unauthorized access

3. Service Description

What Trak Is:

• A personal and group productivity tool
• Designed for managing tasks, events, expenses, and groceries
• Available on iOS and Android mobile platforms
• Currently free to use (no paid features or subscriptions at this time)

Core Features:

Service Nature:

• Provided "as is" and "as available"
• Features may be updated, improved, modified, or removed over time
• No guarantee of continuous availability or uptime
• We may perform updates or maintenance without advance notice
• Trak does not use third-party analytics or advertising SDKs

4. Account Responsibilities

Your Obligations:

• One account per person
• Provide accurate information
• No false or misleading information
• Protect your login credentials (password, email access)
• No account sharing
• You are responsible for all activity under your account
• Notify us immediately if you suspect unauthorized access

Prohibited Account Actions:

• Creating multiple accounts for the same person
• Creating accounts for others without permission
• Using someone else's account
• Sharing login credentials
• Selling or transferring your account

5. Acceptable Use

Permitted Uses:

• Personal organization and productivity
• Group collaboration with friends, family, roommates, teams
• Informal expense tracking and coordination
• Task and event management
• Grocery list sharing

Prohibited Activities:

You may NOT use Trak to:

• Harass, threaten, intimidate, or harm others
• Post illegal, abusive, hateful, or discriminatory content
• Impersonate others or misrepresent your identity
• Violate privacy or intellectual property rights of others
• Attempt to hack, disrupt, or damage the Service
• Reverse engineer, decompile, or extract source code
• Scrape, copy, or download data without permission
• Use automated tools (bots, scrapers) without authorization
• Engage in fraud, money laundering, or financial manipulation
• Send spam or unauthorized promotional content
• Upload viruses, malware, or malicious code
• Share content you don't have rights to
• Use for any illegal purpose under applicable law
• Interfere with other users' use of the Service
• Bypass security measures or access restrictions

Consequences:

• We reserve the right (but are not obligated) to investigate violations
• We may remove content without notice
• We may suspend or terminate accounts
• We may report illegal activity to law enforcement
• We may pursue legal action for serious violations

6. User Content & Responsibility

You Own Your Content:

• You retain ownership of all content you create (tasks, events, expenses, notes, photos, etc.)
• You are solely responsible for the content you create, upload, or share

You Grant Trak a License:

By using the Service, you grant TrakApp LLC a license to:

• Store your content on our servers (Supabase)
• Process your content to provide the Service
• Display your content to you and users you designate (group members, friends)
• Sync your content across your devices
• Share your content with group members you invite
• Process content for notifications and automated reports
• Back up and restore your data
• Use content for technical operations (caching, optimization)

This license is:

• Non-exclusive (you still own your content)
• Worldwide (to serve users globally)
• Ends when you delete content or your account

Content Guidelines:

• Must comply with these Terms and applicable laws
• Must not infringe third-party rights (copyright, trademark, privacy)
• Must be accurate (especially for expense tracking)
• Must not contain illegal, harmful, or abusive material

Trak's Rights:

• We are not responsible for user content accuracy or legality
• We may remove content that violates these Terms
• We have no obligation to monitor content, but may do so at our discretion
• We are not liable for user disputes over expenses, tasks, or other shared content

7. Informal Records

Important Disclaimer:

• Expense splits, task assignments, and event RSVPs created in Trak are INFORMAL records
• They are NOT legally binding agreements
• They are NOT professional financial advice
• They are NOT accounting or tax records

Your Responsibility:

• You are responsible for verifying the accuracy of shared information
• Calculations provided for convenience only
• Resolve disputes directly with other users
• Consult financial professionals for important financial decisions
• Don't rely on Trak as the sole record of financial transactions

No Liability:

• Trak is not responsible for disputes between users
• Trak is not liable for incorrect calculations or data entry errors
• Trak is not liable for financial losses related to expense tracking

8. Intellectual Property

Trak Owns the Service:

• The Trak app, design, features, code, and branding are owned by TrakApp LLC
• Protected by copyright, trademark, patent, and other intellectual property laws
• "Trak" name and logo are trademarks of TrakApp LLC

Your Limited License:

• You receive a limited, non-exclusive, non-transferable license to use the app
• Only for personal, non-commercial use

You may not:

• Copy, modify, or create derivative works
• Reverse engineer or decompile the app
• Remove copyright notices or branding
• Use "Trak" name or logo without permission
• Resell or redistribute the Service

9. Third-Party Services

Trak uses these third-party services:

Currency Exchange Disclaimer:

• Exchange rates provided by ExchangeRate-API for informational purposes only
• Rates may not reflect real-time market conditions
• We do not guarantee accuracy or suitability for any purpose
• Not intended for professional financial transactions
• Trak is not responsible for financial decisions based on exchange rate calculations
• For important financial matters, consult official banking or financial services

Your Acknowledgment:

• We are not responsible for third-party service failures or downtime
• Third parties have their own privacy policies and terms
• We may change service providers without notice
• Exchange rate service may be unavailable, inaccurate, or changed without notice

Important: Trak does not use third-party analytics or advertising SDKs.

10. Future Paid Features

Current Status:

• Trak is currently completely free to use
• No subscriptions, in-app purchases, or paid features at this time

Future Possibility:

• We may introduce premium features or subscription plans in the future
• If implemented in the future, purchases will be processed through:
• Apple In-App Purchase (for iOS users)
• Google Play Billing (for Android users)

If/When Paid Features Launch:

• Pricing will be clearly displayed before purchase
• Subscriptions will automatically renew unless canceled at least 24 hours before renewal date
• Manage subscriptions through Apple App Store Settings (iOS) or Google Play Settings (Android)
• Billing disputes for iOS users will be handled by Apple through the App Store, not by TrakApp LLC
• Billing disputes for Android users will be handled by Google through Google Play, not by TrakApp LLC
• Refunds (if available) must be requested through Apple or Google according to their policies
• Trak does not collect or store payment card information
• All payment information handled by Apple or Google under their privacy terms

Changes:

• We may modify subscription pricing or features at any time
• Changes apply to future billing periods
• Existing subscribers notified of significant changes

11. Disclaimers & No Warranty

"AS IS" SERVICE:

To the fullest extent permitted by law:

• Trak is provided "AS IS" and "AS AVAILABLE"
• WITHOUT WARRANTIES OF ANY KIND, express or implied
• No warranty of merchantability
• No warranty of fitness for a particular purpose
• No warranty of non-infringement
• No warranty of accuracy or reliability
• No warranty of continuous availability or uptime

What We Do NOT Guarantee:

• That the Service will be error-free or bug-free
• That content will always be accurate or complete
• That features will remain available indefinitely
• That the Service will never be interrupted or delayed
• That data will never be lost (always backup important information)
• That the Service meets your specific requirements
• That security measures are completely impenetrable

You Assume All Risk:

• Use the Service at your own discretion and risk
• Backup important information outside of Trak
• Don't rely on Trak for mission-critical data
• Verify important information independently

No Professional Advice:

• Trak does not provide financial, legal, tax, or professional advice
• Consult qualified professionals for important decisions

12. Limitation of Liability

To the Maximum Extent Permitted by Law:

TrakApp LLC, its officers, directors, employees, contractors, and partners will NOT be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Lost profits, revenue, or business opportunities
• Lost data or content
• Service interruptions or delays
• User disputes (expenses, tasks, group conflicts)
• Third-party service failures (Supabase, Expo)
• Unauthorized access to your account
• Errors, bugs, or technical issues
• Actions of other users
• Reliance on user-generated content

Total Liability Cap:

• Our total liability to you for any claim will not exceed the amount you paid to Trak in the last 12 months
• Currently: $0 (since the Service is free)

Exceptions:

• Some jurisdictions do not allow liability limitations
• These limitations may not apply where prohibited by law
• Nothing in these Terms limits liability for death or personal injury caused by our negligence
• Nothing limits liability for fraud or fraudulent misrepresentation

13. Indemnification

You agree to defend, indemnify, and hold harmless TrakApp LLC, its officers, directors, employees, contractors, partners, and agents from and against:

• Any claims, lawsuits, or legal proceedings
• Losses, damages, liabilities, costs, and expenses (including reasonable legal fees)

Arising from:

• Your use of the Service
• Your content (tasks, expenses, photos, notes, etc.)
• Your violation of these Terms
• Your violation of any law or regulation
• Your violation of third-party rights
• Your interactions with other users
• Disputes between you and other users
• Unauthorized use of your account due to your failure to protect credentials

14. Account Termination

You May:

• Stop using Trak at any time (no penalties)
• Delete your account through Profile Settings in the app
• Request data deletion by contacting support@trakapp.io

We May:

• Suspend or terminate your account if you violate these Terms
• Remove content without notice if it violates these Terms
• Terminate accounts if Service is discontinued
• Terminate accounts if required by law
• Suspend accounts pending investigation of violations

Upon Termination:

• Your access to the Service ends immediately
• Personal data removed per Privacy Policy (within 30 days)
• Group content may remain visible to other members
• Your identifying details removed from group records
• No refunds if paid features exist in the future (unless required by law)

Effect:

• Sections that should survive termination will remain in effect (liability limitations, indemnification, etc.)

15. Dispute Resolution

Governing Law:

• These Terms are governed by the laws of the State of Delaware, United States
• Without regard to conflict-of-law principles

Jurisdiction:

• Exclusive jurisdiction in state or federal courts located in Delaware
• You consent to personal jurisdiction in Delaware courts

Informal Resolution First:

• Before filing any lawsuit, contact support@trakapp.io to attempt informal resolution
• Allow 30 days for us to resolve the issue

No Class Actions:

• You agree to bring claims only in your individual capacity
• No class action lawsuits, class arbitrations, or representative actions
• No joining claims with other users

Jury Trial Waiver:

• You waive your right to a jury trial

16. General Provisions

Modifications to Terms:

• We may update these Terms at any time
• "Last Updated" date will change
• Significant changes: in-app notification or email
• Changes take effect when posted
• Continued use = acceptance of updated Terms

Severability:

• If any provision is found invalid or unenforceable, the remaining provisions remain in full effect
• Invalid provisions will be modified to the minimum extent necessary to make them enforceable

No Waiver:

• Our failure to enforce any right or provision does not waive our right to enforce it later
• Waiver of one breach does not waive future breaches

Entire Agreement:

• These Terms + Privacy Policy = complete agreement between you and TrakApp LLC
• Supersedes all prior agreements, representations, or understandings

Assignment:

• You may not transfer or assign your rights under these Terms
• We may assign these Terms to a successor company (merger, acquisition, etc.)

Force Majeure:

• We are not liable for delays or failures due to events beyond our reasonable control
• Including: natural disasters, war, terrorism, riots, embargoes, acts of government, fire, floods, accidents, pandemics, strikes, or network failures

No Third-Party Beneficiaries:

• These Terms do not create rights for any third parties

Headings:

• Section headings are for convenience only and do not affect interpretation
